Terms of Service

1. Who you are contracting with
SimVitals ("we", "us", "the seller") operates the Service. By creating an account or continuing to use the SimVitals service — including the personal Apex workspace, institution workspaces, the patient monitor simulations, and the Student Learning Lab (together, the "Service") — you agree to these Terms of Service and contract with SimVitals. Paddle's separate buyer terms apply to your purchase, as explained below.
2. The Service
SimVitals is a browser-based clinical simulation and education platform. It provides simulated patient monitors, instructor control tools, scenario libraries, and student learning modules. The Service is for healthcare simulation and education only. It is not a medical device, patient-monitoring system, diagnostic tool, or clinical decision-support system. It must never be used for real patient care, diagnosis, treatment, or clinical decision-making. All patient information used in simulations must be fictional. Educational content may contain errors and does not replace professional training, supervision, or clinical judgment outside the Service.
If you use the Service on behalf of an institution or organization, you confirm you have the authority to bind that organization to these terms. If you are an individual, you confirm you are of legal age to enter into this agreement in your jurisdiction. You must be at least 13 to use SimVitals. If you are 13 or older but below the legal age to enter a contract, your use requires a parent or legal guardian's consent and supervision; that adult must accept these terms on your behalf. The Service is not intended for children under 13.
3. Licence and acceptable use
We grant you a limited, non-exclusive, non-transferable right to access and use the Service within the plan you have selected. You must not misuse the Service, including by:
- using the Service for any unlawful purpose, fraud, or spam;
- infringing intellectual property rights of any third party;
- interfering with the security or integrity of the Service, including introducing malware, probing or scanning for vulnerabilities, or scraping the Service;
- reverse engineering, reselling, redistributing, or circumventing technical limits of the Service;
- relying on the Service for the care of real patients.
- uploading or entering protected health information (PHI), identifiable patient information, medical record numbers (MRNs), real patient dates of birth (DOBs), real patient names, or other protected clinical information, including in scenarios, attachments, or support messages;
- harassing others, sharing account credentials, or bypassing subscription, seat, or workspace access limits.
SimVitals is not designed to collect or store PHI. Use synthetic cases rather than real patient records. If you accidentally submit prohibited information, stop sharing it and contact us promptly without repeating the sensitive information. We may remove or restrict prohibited content and suspend access to protect users and the Service.
4. Accounts and credentials
You are responsible for keeping your account credentials confidential and for all activity under your account. You must provide accurate information when registering and keep it up to date. Institution administrators are responsible for managing their members' access and ensuring they follow these terms. Learner plans provide the Student Learning Lab; Professional plans provide individual instructor and simulation tools. Institution plans provide a shared workspace with licensed instructor seats and, when selected, separate Student Learning Lab seats. Your access depends on your plan and institution's settings.
5. Intellectual property
We retain all ownership of the Service and its intellectual property, including the software, documentation, SimVitals-provided scenarios, and branding. User-created scenarios and other submitted content remain owned by the user or institution that holds the rights; SimVitals does not acquire ownership. You confirm you have permission to submit and share that content.
You grant SimVitals a limited, non-exclusive licence to store, reproduce, back up, process, and display your content only as needed to operate and deliver the Service, including sharing it with the workspace members you authorize. This does not give SimVitals the right to sell your scenarios separately.
Scenarios created or shared as institutional workspace content remain part of that workspace and under its administration, rather than belonging solely to the instructor's account. An instructor leaving does not, by itself, withdraw that shared content from the institution. Copyright ownership between an instructor and institution follows their own agreements and applicable law; contributing a scenario does not transfer copyright to SimVitals. Personal scenarios are separate and are not automatically shared with an institution.
6. Payments and subscriptions
Paid plans are billed annually and automatically renew for another annual term unless canceled before the next renewal. The price, currency, seat quantities, and applicable taxes are shown at checkout. Paddle handles payment processing, billing, applicable sales taxes and VAT, invoicing, refunds, and related purchase transactions as our Merchant of Record. Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.
Eligible new personal Learner and Professional accounts receive a 15-day free trial. The trial itself does not charge you or automatically create a paid subscription; you must complete checkout to subscribe. Trial access ends when the trial expires unless another valid entitlement applies. Institutions do not receive an automatic trial.
Cancel through Manage billing in your subscription settings or contact Paddle at paddle.net. Cancellation normally stops the next renewal and leaves paid access available until the end of the current paid term shown in your billing details. Cancellation is not the same as a refund request. Once that term ends, access to the paid features ends unless another valid subscription or access grant applies.
If a payment fails, Paddle may retry it and ask the billing account holder to update payment details. We may restrict or suspend paid access while payment is overdue; no fixed grace period is guaranteed. Unresolved non-payment may lead to subscription termination.
Contact support to request a plan upgrade, downgrade, or institution seat change. Availability, effective date, any prorated charge or credit, and the new renewal price will be confirmed before the change is applied. A change request alone does not change your subscription or guarantee a prorated refund. Paddle processes any resulting billing adjustment.
Institution billing is managed by its billing account holder or designated billing administrator. Billing communications are directed only to that contact, not to instructors or students merely because they belong to the workspace. SimVitals support remains responsible for product and workspace questions.
7. Refunds
Refund eligibility and how to request a refund are described in our Refund & Cancellation Policy. We offer a 30-day money-back guarantee, processed by Paddle. Nothing in these terms limits mandatory consumer rights or Paddle's obligations under its buyer terms.
8. Service level
The Service is provided "as is" and "as available". We do not guarantee uninterrupted or error-free performance, and we disclaim all implied warranties — including merchantability and fitness for a particular purpose — to the fullest extent permitted by law.
9. Suspension and termination
We may suspend or terminate your access to the Service in the event of a material breach of these terms, non-payment, a security or fraud risk, or repeated or serious violations of these terms. Where reasonable, we will explain the issue and allow it to be addressed; urgent security or unlawful-use concerns may require immediate action. Institution administrators can also remove a member's workspace access.
Termination for these reasons may end access before the paid term expires, without removing any refund rights required by law or Paddle's terms. Ordinary subscription cancellation instead follows the end-of-term rules above. Cancellation does not automatically delete an account or institutional shared content. Retention and deletion requests are covered by our Privacy Policy.
10. Liability
To the fullest extent permitted by law, we exclude liability for indirect, consequential, or special damages (including loss of profits, data, or goodwill), and our aggregate liability is capped at the fees you paid in the 12 months before the claim. Nothing in these terms excludes liability for fraud, death or personal injury caused by negligence, or any other liability that cannot lawfully be excluded or limited. These limits do not remove mandatory consumer protections.
11. General
We are not liable for delays or failures caused by events beyond our reasonable control. You may not assign these terms without our consent; we may assign them in connection with a merger or acquisition. These terms are governed by the laws of the seller's jurisdiction, and disputes will be resolved in the courts of that jurisdiction unless otherwise required by law.
We may update these terms and will post the revised version and update date here. Material changes affecting an existing subscription will be communicated in advance where required by law. Mandatory rights in your country of residence continue to apply.
